Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 23, 2023, it was determined that Brian Cook will separate from employment with Local Bounti Corporation (the “Company”) as the Company’s President, effective July 7, 2023. We thank Mr. Cook for his contributions and wish him well in his future career. In connection with his departure, Mr. Cook is expected to receive the severance payments and benefits provided under his employment agreement with the Company as previously filed with the Securities and Exchange Commission, for a termination without cause, subject to his execution and non-revocation of a release of claims and compliance with post-termination restrictive covenants. Mr. Cook’s separation was not a result of any disagreement with the Company on any matter relating to its operations, policies, or practices, or to any issues regarding its accounting policies or practices.
